CONTRIBUTOR AGREEMENT TERMS & CONDITIONS
This CONTRIBUTOR AGREEMENT (the “Agreement”) is made and entered into by and between StarScript Ltd, a Nevada Limited Liability Company, (“StarScript”) and any person who Contributes money to StarScript via the www.StarScriptLegends.com crowdfunding campaign (“Contributor”).
Section 1: Definitions
1.1 Crowdfunding Campaign. StarScript’s reward-based crowdfunding campaign as advertised on www.StarScriptLegends.com (“Site”) created to fund StarScript start-up and operating costs, including the development, testing, launch, and marketing of StarScript’s story production web application (“Legends”).
1.2 Estimated Delivery Date. The estimated time at which StarScript advertises that a Reward will be deliverable as published on the Site.
1.3 Contribution. A donation to StarScript through it’s Crowdfunding Campaign by a Contributor, regardless of which crowdfunding Tier the Contributor uses to make their donation. Contributions are not consideration for any services or product. A Contribution does not purchase anything, rather it is just a donation towards the development of Legends and the creation of any Rewards.
1.4 Reward. A benefit offered by StarScript to Contributors who Contribute money to one or more Tiers. Rewards are identified on the Site. Any products or services advertised by StarScript, or named attributes of any products or services, are NOT offered for value and consideration by StarScript in exchange for a Contribution by a Contributor.
1.4 Tier. Outlines the basic terms of what Rewards StarScript promises to make a good faith effort to deliver to Contributors if they elect to Contribute a given sum of money to StarScript’s Crowdfunding Campaign.
Section 2: Promises
2.1 GOOD FAITH EFFORTS. StarScript promises to make a good faith effort to deliver Rewards to the Contributor as advertised in the Crowdfunding Campaign.
2.2 AVAILABILITY OF CONTRIBUTED FUNDS. StarScript may use any and all Contributed funds immediately upon receipt to perform it’s good faith effort to deliver Rewards to the Contributor, and is not obligated to refund any Contributor in the event StarScript does not end up reaching any crowdfunding goal.
2.3 NO OBLIGATION. While StarScript is promising to make the aforementioned good faith effort, it is no way obligated to the Contributor to do the same. In the event StarScript does not end up reaching its crowdfunding goal, StarScript does not owe the Contributor any payment or performance in exchange for money that the Contributor has Contributed.
Section 3: Risks
3.1 FUNDING RISK. By Contributing to StarScript’s Crowdfunding Campaign, Contributor understands that he/she/it takes the risk of making such Contribution, but never receiving any advertised Rewards. This risk could be due to a number of factors, such as StarScript failing to receive adequate funding, unforeseen circumstances, death of a key StarScript team member, or otherwise.
Contributor further understands that there may be other risks to not receiving StarScript’s advertised Rewards, which are not specifically identified in this Agreement.
Section 4: Warrants
4.1 LEGAL AGE. Contributor warrants that he or she is at least 18 years of age at the time of accepting and executing this Agreement.
Section 5: Limitation of Liability
5.1 DISCLAIMER OF WARRANTIES. StarScript Legends and all Rewards (including the Legends application itself) are provided “as is” and “as available,” at the sole risk of the Contributor. StarScript expressly claims all implied or express warranties, including without limitation, the implied warrants of merchantability, fitness for a particular purpose, title, and non-infringement. StarScript makes no warranty that the Rewards (including the Legends application itself) will meet the Contributor’s requirements, that use of the foregoing will be uninterrupted, timely, secure, or error-free, that the results obtained form the use of the foregoing or any information found thereon will be accurate or reliable, or that the quality of any content, products, services, information, or other material provided to the Contributor will meet their expectations.
5.2 Neither StarScript nor its affiliated companies or their respective officers, directors, agents, or product users be liable under contract, tort, strict liability negligence, or any other legal or equitable theory with respect to Legends for any of the following:
1. Lost profits, data loss, cost of procurement of substitute goods or services, or special, indirect, incidental, punitive, or any consequential damages of any kind whatsoever;
2. Bugs, viruses, Trojan horses, or the like, (regardless of source of origination); or
3. Direct damages in excess of $100 dollars.
SOME STATES OR COUNTRIES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO CONTRIBUTOR.
Section 6: Jurisdiction
6.1 JURIDICTION. This Agreement shall be construed and enforced in accordance with, and the rights of the parties shall be governed by, the laws of the State of Nevada as determined herein.
Section 7: Amendments
7.1 AMENDMENTS. This Agreement may be amended by StarScript from time to time for any reason, or no reason at all. In order for any amendment to take effect, StarScript must publish the same on StarScriptLegends.com and give notice of said amendment to all Contributors via email. Contributors will input their email address before placing their Contribution and that email shall serve as the Contributot email address for StarScript to send this or any other notice.
Section 8: Term
8.1 TERM. The effect of this Agreement shall continue on in perpetuity or for the maximum amount of time allowable by law, unless otherwise terminated by mutual agreement of the parties.
Section 9: Execution
9.1 EXECUTION. By placing an order on StarScript’s Site, or signing this Agreement, the undersigned executes this Agreement, warrants that she/he understands all terms and conditions stated herein, and with intention, accepts and completes the manifestation of mutual assent to those terms and conditions, thereby establishing an effective and enforceable legally binding contract. This Agreement may be executed by electronic signature.
